BRAND IDENTITY DESIGN
Once SIV has received the client’s deposit payment, they will commence with the project and provide the client with an estimated timeline depending on the different design phases required for the brief. At the brand identity development stage, 4 - 8 logo design options will be submitted for the client’s review via e-mail unless otherwise negotiated. Upon receipt of the client’s feedback on these designs, SIV will make any needed changes to their choice option of logo design until the client is completely satisfied. Please note, up to two rounds of revision are included in the quoted price. Further revisions will incur additional costs at SIV’s current hourly rate.
After the final logo design is approved, SIV will send the logo design to the client as digital files ( jpg., vector pdf. and png. graphics file formats). Should the client require any other file formats, it will be provided upon request in writing.
The client has ownership of the final logo design for use in any media application that is beneficial to their business. SIV retains the right to use the final logo, or any versions of the logo created in the process, within printed and on-line portfolios, including promotional materials. The client also gives SIV permission to use client’s full name and/or website address, for testimonial purposes on their website, or other business related media. The client understands that it is the client’s responsibility to copyright the logo design and/or seek trademark.
In return for SIV’s brand development and design services, the client agrees to pay the total fee payable.
A 50% deposit is required before any work begins and the remaining payment is due once the final phase of design is approved but before it is delivered. The client understands that the final designs belong to SIV until paid in full. In the event of termination of this agreement, SIV owns the logo(s) and has the right to complete, exhibit, and/or re-purpose the logo design (not including business name). Furthermore, SIV owns all the logo design concepts created before the final logo design. The client understands that once the final invoice is paid in full, the client has the right to use the logo design in all media useful for business promotion and that SIV reserves the right to display the logo for business promotional use.
Illness, injury, or other events beyond SIV’s control, such as: fire, theft, computer failure, and Acts of God may result in a delay of unpredictable length.
If agreement is terminated for any reason other than failure to deliver within agreed-upon timeframe, SIV shall retain the deposit.
SIV agrees to complete brand, websiteor print design projects within a timeframe agreed upon with the client.
SIV may use readily available fonts from their font library or acquire fonts relevant to each unique project. Any fonts acquired by SIV for inclusion in the client’s website remain the property of SIV and may be used in multiple, separate projects. Should the client require full ownership of the provided font, these terms must be disclosed in writing.
PRINT AND WEB DESIGN
Print design includes but is not limited to flyers, brochures, posters, invitations, newsletters, business cards and other marketing collateral for profit or non-profit purposes. Web design includes the design of website, portfolios, landing page and online shops or any other online collateral such as e-invitations.
SIV will provide any print designs in its relevant graphic print ready file format required for the specific print objective.
Printing remains the responsibility of the client, unless otherwise agreed in writing.
Should the client wish to hand over printing to SIV through their preferred printing companies, it should be made known in writing and SIV will provide the client with a handling fee as well as additional printing terms and conditions.
The client agrees to give access (usernames, passwords, and any other required permissions) to existing or future domain registration, hosting accounts, and affiliated service-providers as needed to accomplish the goals set forth for the website / online shop design. The client also authorises SIV to publicise their completed website to web search engines, as well as other web directories and indexes, if this is included in the objective of the project.
For any website project, a proposal shall be provided to the client which outlines the general scope of the web design / online shop project. Additionally, the proposal shall include an estimate of the costs involved to complete the project. Additional work required to the project will incur additional costs. All prices specified in this cost estimate will be honored for three months after both parties agree to this contract. Continued services there after will require a new agreement.
Client will provide all text/copy to be used on website and/or print collateral, unless otherwise negotiated. Client agrees to provide copy and any other submissions in a timely manner. SIV recommends the creation of the client’s own unique text/copy and can provide assistance in this regard upon request.
SIV uses the following platforms to build websites or e-commerce online shops: Squarespace and Shopify.
It remains the client’s responsibility to understand and agree to the terms and subscription fees of these platforms and SIV will not be held responsible for errors or any temporary server failures of these platforms.
These platforms empower client’s to manage and maintain their own website / online shops should it be their wish and SIV will arrange a hand-over session once the website / online shop has been completed for the client. After completion of the client’s website / online shop, the client understands that any revisions, updates or corrections in the future will be made at the client’s expense, billed at SIV’s current hourly rate.
Copyrights and Trademarks
The client represents to SIV and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork provided to SIV for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend SIV from any claim or suit arising from the use of such elements provided by the client.
Should the client’s website require the use of stock photography, SIV will provide the client’s with options of such sources relevant to the client’s brand. No purchasing of stock photography, fonts, online artworks or illustrations will ever be included in quotes provided by SIV. SIV highly recommends the creation of the client’s own unique visual content and can provide assistance in this regard upon request.
Any photography, illustrations or fonts acquired by SIV at their own cost for inclusion in the client’s website / designs remain the property of SIV and may be used in multiple, separate projects. Should the client require full ownership of the provided photography, illustrations or fonts, these terms must be disclosed in writing and purchases will be for the client’s account.
